General Terms of Service

Shared business terms, agreement precedence, access, confidentiality, integrations, commercial scope, restrictions, termination, and notices.

Last revised: October 23, 2026

These General Terms of Service ("General Terms") form part of the agreement between Solarius B.V. ("Solarius") and the legal entity accepting them ("Customer") when validly incorporated into an accepted order or other contractual instrument. Solarius and Customer are each a "Party" and together the "Parties." A person accepting for Customer represents and warrants that the person has authority to bind that entity. Access to a policy page does not constitute a paid purchase, acceptance on behalf of an organization, or amendment of an executed contract.

Agreement and scope

"Services" means the shared accounts, Console, Identity, associated business APIs, and other Solarius business services expressly included in the accepted service scope. "Order" means an accepted order form, online purchase confirmation, or equivalent instrument specifying the purchased Services. "Agreement" means the accepted Order, any negotiated agreement, applicable product terms, these General Terms, and policies expressly incorporated into those instruments. "Authorized Users" means individuals Customer authorizes to use the Services within its permissions. "Customer Data" means information, content, configurations, and records supplied by or on behalf of Customer or processed for Customer through authorized use of the Services.

"Intellectual Property Rights" means copyrights, patent rights, trade secrets, database rights, trademarks, and other proprietary rights recognized by applicable law. A "DPA" is the applicable accepted data-processing agreement governing personal data processed on Customer's behalf. Product terms, Orders, negotiated agreements, DPAs, and accepted support schedules establish the purchased obligations and their duration.

Express accepted precedence controls. Otherwise mandatory law and binding transfer clauses prevail; the DPA controls personal-data processing; then the negotiated agreement, an order expressly identifying its variation, product terms, and these General Terms apply. An ordinary product description does not silently amend liability or privacy safeguards.

General safety, reporting, and conduct rules apply within their scope. They do not create an unpurchased SLA, universal resource rate, testing permission, or authority over every possible deployment. Stronger product operational protections remain controlling unless validly amended.

Accounts and permitted use

Customer shall provide and maintain accurate business and billing information, a reachable organization owner, and a security contact. Customer shall assign user and machine permissions according to authorized duties and require Authorized Users to safeguard credentials and access only accounts they are entitled to control. Customer shall be responsible for permitted use within its control and shall take reasonable corrective action upon learning of misuse. Solarius remains responsible for its own service safeguards; the use of a credential does not conclusively establish that Customer caused a compromise.

Personal identities, organization ownership, membership, billing authority, and product permissions have separate lifecycles. Arrange handover before a responsible person leaves. Shared-account access does not grant authority over every product, project, or external provider.

Subject to the Agreement, Solarius grants Customer a limited, nonexclusive right during the accepted service term to access and use the purchased Services through Authorized Users for the authorized business purposes and within the purchased capacity. Proprietary software rights, deployment entitlements, resale, and transfer remain subject to the applicable product license and assignment provisions. No right is granted by implication, estoppel, or otherwise; each Party reserves rights not expressly granted, subject to mandatory law and applicable component licenses.

Customer shall comply with the Acceptable Use Policy and shall hold the rights and permissions necessary for submitted content, connected systems, software, monitoring, and instructions. The technical availability of a capability does not confer another person's permission or enlarge Customer's lawful authority.

Data, intellectual property, and confidentiality

As between the Parties, Customer retains all right, title, and interest in Customer Data, its applications, and independently created work. Solarius and its licensors retain all right, title, and interest in the Services, proprietary software, materials, and brands. No transfer of ownership results from service use or disclosure. Actual component licenses and the IP and software policy govern software and brand rights, including applicable open-source entitlements.

Customer grants Solarius a limited permission to host, transmit, reproduce, and otherwise process Customer Data solely as necessary to provide, secure, and support the contracted Services, comply with lawful documented instructions, and meet binding law under the DPA. The permission is limited to those purposes and the applicable processing duration; it does not transfer ownership or authorize independent commercialization. Solarius shall not sell customer personal data, share it for cross-context behavioral advertising, or use customer content to train general-purpose AI models.

"Confidential Information" means nonpublic business, technical, financial, security, or customer information disclosed by or on behalf of a Party ("Disclosing Party") to the other ("Receiving Party") that is identified as confidential or reasonably should be understood to be confidential from its nature and circumstances. Customer Data is Customer's Confidential Information. Solarius's nonpublic proprietary software and technical materials are Solarius's Confidential Information.

The Receiving Party shall protect Confidential Information with at least reasonable care, use it solely to perform the Agreement or for another expressly authorized purpose, and disclose it only to recipients who need to know and are bound by enforceable confidentiality duties. The Receiving Party remains responsible for disclosures it authorizes. These obligations exclude information the Receiving Party can demonstrate is lawfully public without breach, independently developed without use of the information, or lawfully obtained without restriction. Compelled disclosure shall be limited to the legally required scope and follow government-request safeguards, including notice when lawful.

The accepted Agreement controls the duration of confidentiality obligations. On termination or a lawful request, Confidential Information shall be returned or destroyed subject to the DPA, agreed transition rights, and lawful records or protected backup retention. Retained copies remain restricted to their permitted purposes and subject to confidentiality. Trade secrets and personal data retain their applicable legal protection. Voluntary general feedback permits service improvement without a royalty obligation but does not assign unrelated inventions or license confidential material, personal data, or trademarks. Public use of a name or logo requires the permission specified in the IP policy.

Integrations and third-party services

Solarius shall remain responsible for obligations delegated to its suppliers to the extent required by the Agreement and DPA. A provider independently selected and engaged by Customer remains subject to Customer's separate agreement for that activity. The same provider can perform both roles; the classification shall follow the actual processing and contractual relationship and shall not relieve Solarius of obligations it has undertaken.

Before enabling an integration, Customer shall authorize the intended account, organization, permission scopes, data categories, destination, continuing access, and disclosed charges. Customer shall supply scoped credentials through the designated flow and represents that it has the permissions necessary to direct the connection and related disclosures without violating its third-party obligations. Personal account access alone does not authorize a business export. A connection does not authorize Solarius to vary Customer's separate provider contract.

Configured payloads might contain personal information, internal context, or credentials when an explicit export requires them. The customer must have a lawful purpose and approved recipient. Solarius remains responsible for accurately describing what its operated integration sends and preventing unauthorized additional disclosure.

Workload region does not locate an external email, ticket, webhook, or archive. Provider terms govern independently retained copies. Disconnection does not recall delivered data, reverse accepted operations, or cancel a separate provider subscription. Review tokens, grants, pending work, agents, and external automation and verify the final state on both sides.

Request acceptance, queued delivery, email handoff, and remote acknowledgement establish only those stages. They do not prove that a person received a notice or an external action completed. Product contracts specify retries, duplicates, order, and revocation.

Solarius shall use reasonable efforts to maintain expressly supported integrations and communicate material known limitations. A supplier change does not automatically excuse Solarius's service breach. Separate provider charges remain under that provider's agreement; Solarius charges must be disclosed before purchase. An integration listing does not guarantee every provider account or country is eligible.

Fees and service commitments

Accepted purchases identify product, price, currency, quantities, included capacity, metered use, taxes, commitments, payment dates, and renewal. Customer shall pay valid charges by the agreed due date and maintain accurate payer and tax particulars. Taxes legally payable by Customer are additional where disclosed; Solarius remains responsible for taxes on its own net income. Budget alerts are not necessarily spending caps; retained resources or reservations can continue billing after a workload stops. Product notice periods and accepted fixed rates remain controlling.

Billing and cancellation governs changes, corrections, credits, refunds, and disputes alongside product terms. Member removal, personal deletion, uninstalling software, or removing a payment method does not itself cancel a separate contract. Policy edits cannot conceal paid renewal or retroactively increase consumed rates.

Each Party shall perform the responsibilities allocated to it by the accepted scope and the components it actually operates. Customer applications, self-hosted hosts, keys, backups, and independent providers do not become managed Services merely through an account connection. Solarius remains responsible for its operated Services and delegated duties.

Availability commitments, recovery objectives, express warranties, third-party indemnities, exclusions of damages, monetary liability limits, and associated remedies shall be determined by the applicable accepted product or negotiated agreement and mandatory law. These General Terms do not impose a separate universal cap, indemnity, or disclaimer that reduces those protections. Neither Party excludes liability or a remedy that applicable law prohibits it from excluding.

Restrictions and termination

Solarius is entitled to impose proportionate restrictions where substantiated material breach, valid overdue payment, serious security risk, unlawful use, or binding law establishes a contractual or legal basis. Ordinary product notice and cure periods apply. Urgent harm or noncompliance might require immediate action, with reasons and review as required.

Criticism, a good-faith billing dispute, a lawful report, or privacy-rights exercise is not retaliation grounds. Suspension is not an undisclosed deletion process. Status's ordinary read-only entitlement and export safeguards remain applicable.

Upon expiry or termination, Customer shall cease the terminated licensed use except to the extent expressly permitted for export and transition. Valid accrued charges and accepted commitments remain due. Return, deletion, and protected copies follow the DPA, product schedule, and deletion rules. Confidentiality, ownership, retained-data duties, accrued payments, and enforceable dispute provisions survive as needed. Product refund and material-breach remedies are preserved.

Disputes, notices, and amendments

The Agreement shall be governed by the laws of the Netherlands, subject to a valid negotiated choice and mandatory protections. The forum designated in the signed Agreement shall control; absent a controlling designation, the competent courts at Solarius's registered seat in the Netherlands shall have jurisdiction to the extent permitted by law. These General Terms do not impose compulsory arbitration or a waiver of statutory rights.

Send notices to legal@solarius.me with customer, agreement, product, and requested action. Contracting address and identifiers are supplied in the purchase or legal record and on request. Keep contacts current and address known material delivery failures reasonably.

No amendment shall be effective except in accordance with the accepted Agreement's valid amendment process. Material changes require direct communication and their effective date. Publication alone does not amend a signed contract or authorize a new data purpose. Necessary legal changes must be limited and explained promptly. Delay in enforcement is not a waiver; an invalid provision is limited or severed only as necessary without removing a mandatory remedy.

The Parties are independent contractors. Neither Party is authorized to bind the other or create a partnership, joint venture, employment, or agency relationship by reason of the Agreement. Assignment remains subject to the applicable product or negotiated agreement and mandatory law. The accepted instruments constitute the Agreement on their subject matter in the order of precedence stated above; an administrative purchase order does not vary them without an expressly accepted variation. This provision does not override a negotiated agreement, exclude fraud, or limit a mandatory precontractual duty.
